Terms & Conditions of Use

WorldFinancial.Center is a verified business ecosystem built on transparency, integrity, and international cooperation. These Terms govern your access to SouthAfrica.WorldFinancial.Center and its associated services.

Welcome to SouthAfrica.WorldFinancial.Center – a curated digital ecosystem that connects verified entrepreneurs, companies, and institutional partners. Our mission is to foster transparent, compliant, and mutually beneficial business relationships across Africa and the globe, in cooperation with foreign chambers of commerce, WorldExpo.Center, UNiOnWorldTrade.Center, and other aggregated partner organizations.

By registering and using this platform, you accept these Terms & Conditions in their entirety. Please read them carefully.

Section 1

Membership & Verification

1. Mandatory Identification

Every entrepreneur, professional, or company must provide real and verifiable information:

  • full name and surname;
  • company name;
  • business registration number;
  • country of registration;
  • registered office;
  • names of authorized representatives;
  • contact details;
  • website, if available;
  • sector of activity.

The platform may request additional documentation before approving an account.

2. Know Your Business – KYB

WorldFinancial.Center reserves the right to perform Know Your Business (KYB) procedures. For South African companies, verification of registration with CIPC and, where applicable, beneficial ownership information may be required.

3. Ultimate Beneficial Owner – UBO

For significant economic collaborations, investor searches, Joint Ventures, financial transactions, or international partnerships, the member may be required to declare their Ultimate Beneficial Owner (UBO).

South Africa specific: The CIPC Beneficial Ownership register has been operational since 2023. Compliance is an essential part of corporate transparency.

4. Truthfulness of Information

The entrepreneur is personally responsible for the accuracy of all information, documents, photographs, projects, offers, and opportunities published.

It is forbidden to:

  • present false information;
  • use forged documents;
  • inflate financial data;
  • declare non-existent partnerships;
  • claim government authorizations not held;
  • impersonate other companies or persons.

5. Lawful Commercial Activities

The member declares that their activity is legally established and operates in compliance with applicable regulations in their country and in the markets where they operate.

Section 2

Standards of Conduct & Compliance

6. Code of Conduct

Members must maintain professional, transparent, and respectful behavior. The following are not permitted:

  • fraud;
  • corruption;
  • money laundering;
  • document falsification;
  • deceptive commercial practices;
  • undue pressure;
  • discrimination;
  • threats;
  • spam;
  • abusive use of contacts obtained through the platform.

7. Anti-Corruption

It is prohibited to use WorldFinancial.Center to offer, request, or facilitate bribes, hidden commissions, illicit payments, or other undue advantages.

8. AML / KYC / Sanctions

WorldFinancial.Center may conduct KYC/KYB checks, sanctions screening, and reputational controls proportionate to the type of transaction.

For high-risk operations, the platform may request information regarding:

  • identity;
  • beneficial ownership;
  • source of funds;
  • source of wealth;
  • PEP status;
  • any sanctioned persons;
  • nature and purpose of the transaction.

South Africa: For activities falling within the FIC/FICA perimeter, customer due diligence follows a risk-based approach.

9. No Automatic Right of Admission

Registration does not automatically grant the right to become a member or partner. WorldFinancial.Center reserves the right to:

  • approve;
  • refuse;
  • suspend;
  • limit;
  • subject to verification;

any membership application.

Section 3

Membership Levels & Representation

10. Distinction Between “Member” and “Partner”

Being registered on the platform does not mean being an official partner of WorldFinancial.Center. The following levels are established, assigned exclusively by WorldFinancial.Center:

11. No Automatic Representation

No member may declare that they:

  • represent WorldFinancial.Center;
  • are an agent of WorldFinancial.Center;
  • are a mandatary of the platform;
  • negotiate on behalf of the platform;
  • collect money on behalf of the platform;

without a specific written mandate.

12. Collaborations Through Separate Agreements

Platform membership does not automatically create:

  • Joint Venture;
  • corporate partnership;
  • agency;
  • mandate;
  • franchising;
  • exclusivity;
  • commercial representation.

These relationships must be regulated through separate agreements.

13. Non-Exclusivity

Unless otherwise agreed in writing, any relationship arising through the platform shall be considered non-exclusive. Exclusivity may only be granted by means of a specific contract, defining:

  • territory;
  • sector;
  • duration;
  • KPIs;
  • objectives;
  • renewal conditions;
  • grounds for termination.
Section 4

Business Opportunities & Introductions

14. Business Opportunities

Entrepreneurs may present:

  • products;
  • services;
  • technologies;
  • distribution opportunities;
  • partnership requests;
  • Joint Ventures;
  • internationalization;
  • supplier searches;
  • client searches;
  • investment projects;
  • industrial opportunities.

WorldFinancial.Center reserves the right to verify or remove non-compliant opportunities.

15. Commercial Introductions

When WorldFinancial.Center introduces two parties, the introduction does not constitute a guarantee of solvency, reliability, or execution capability of the parties. Each party must conduct their own due diligence before concluding any agreement.

16. Protection of Introduced Relationships

A Non-Circumvention clause applies. A member shall not use a relationship introduced directly by WorldFinancial.Center to knowingly circumvent economic or commercial agreements previously accepted with the platform.

Any commissions must be established by a specific agreement.

17. Fees and Success Fee

Platform registration does not automatically attribute commissions to any party. Any referral fee, success fee, commercial commission, revenue sharing, or advisory fee must be agreed in writing before the transaction to which they refer.

18. Investor Search

Mere membership does not constitute a mandate to WorldFinancial.Center to raise capital. A company wishing to use structured investor introduction or capital raising services must sign a separate mandate compatible with applicable regulations.

Section 5

Financial & Legal Disclaimers

19. Not Automatically a Financial Intermediary

Unless expressly authorized services are provided, WorldFinancial.Center does not operate as a bank, depositary, asset manager, broker, investment fund, or regulated financial advisor.

South Africa: The FSCA regulates the conduct of financial institutions and financial services providers. Regulated financial activities require proper authorization. We maintain a clear separation between business networking / investor introductions and regulated advisory or intermediary activities.

20. No Custody of Money

As a general principle, WorldFinancial.Center does not receive or hold capital intended for investments between members. Transactions must take place directly between the parties or through:

  • banks;
  • escrow agents;
  • authorized paymasters;
  • financial institutions;
  • other legally authorized intermediaries.

21. Independent Due Diligence

Each member remains responsible for their own assessment—legal, commercial, financial, fiscal, technical, and reputational—before entering into any transaction.

22. No Guarantee of Success

WorldFinancial.Center may facilitate relationships and opportunities, but does not guarantee:

  • investments;
  • financing;
  • sales;
  • contracts;
  • economic returns;
  • government authorizations;
  • project success.
Section 6

Confidentiality & Intellectual Property

23. Confidentiality

Members undertake not to disclose confidential information received through the platform. For sensitive operations, a specific NDA / NCNDA may be required.

24. Intellectual Property

Each member retains ownership of their own trademarks, projects, and materials. By publishing on the platform, they grant WorldFinancial.Center a limited license necessary to display and promote the relevant profile or content.

25. Use of the WorldFinancial.Center Brand

No member may use the logo, trademark, name, certifications, badges, or official documents of WorldFinancial.Center without authorization.

26. Verified Member Badge

The Verified Member badge indicates exclusively that certain information has been verified. It shall not be interpreted as a financial guarantee, investment recommendation, or certification of the quality of the business.

Section 7

Data Protection & Communications

27. Data Protection

WorldFinancial.Center shall establish:

  • which data are collected;
  • why they are collected;
  • how long they are retained;
  • with whom they may be shared;
  • which data become public;
  • how users may request modification or deletion.

South Africa: For activities subject to South African law, the provisions of POPIA (Protection of Personal Information Act) must be considered. The Information Regulator oversees its application.

28. Sharing of Contacts

Email, telephone, and personal data of an entrepreneur shall not be used by other members for mass campaigns or for purposes unrelated to the authorized commercial relationship.

29. Marketing and Communications

Each member must comply with platform rules regarding marketing, email, messaging, commercial offers, and use of data obtained through WorldFinancial.Center.

30. Prohibited Content

Projects or offers relating to activities that are illegal, fraudulent, subject to international sanctions, contrary to applicable law, or that violate third-party rights shall not be permitted.

Section 8

Reporting, Suspension & Termination

31. Reporting System

A Report / Compliance system must be available through which members and users can report fraud, suspicious behavior, false documents, abuse, or violations of the platform.

32. Rating and Reputation

If a rating system is introduced, it shall be specified that the rating represents information and indicators collected by the platform and does not constitute a financial guarantee.

33. Immediate Suspension

WorldFinancial.Center may suspend an account immediately when there are reasonable elements relating to:

  • fraud;
  • false declarations;
  • violation of Terms;
  • abuse of the brand;
  • illegal activities;
  • reputational risk;
  • failure to cooperate in verifications.

34. Account Cancellation

The platform shall provide for both:

  • cancellation requested by the user;
  • termination ordered by WorldFinancial.Center.

Confidentiality, intellectual property, accrued commissions, and prior liability obligations may survive termination.

35. Tax Responsibility

Each member is responsible for their own taxes, VAT, duties, filings, and tax obligations arising from their activities.

Section 9

Liability & Legal Provisions

36. Limitation of Platform Liability

To the extent permitted by law, WorldFinancial.Center shall not be liable for commercial obligations autonomously undertaken between members. The platform facilitates the ecosystem but does not automatically become a party to contracts concluded between members.

37. Electronic Acceptance

By registering and selecting “I Agree / Accept Terms & Conditions”, the user accepts these Terms & Conditions and any other policies referenced by the platform. Evidence of the accepted version and date shall be retained.

South Africa: Online transactions and acceptances should be structured also considering the Electronic Communications and Transactions Act (ECTA).

38. Amendment of Terms

WorldFinancial.Center may update these Terms for regulatory evolution, new services, new markets, security, or compliance. Substantial changes shall be communicated to users according to the methods provided by the platform.

39. Governing Law

These Terms shall specify clearly:

  • the company operating SouthAfrica.WorldFinancial.Center;
  • its registered office;
  • the applicable law;
  • the competent forum;
  • any arbitration;
  • the prevailing contractual language.

40. Acceptance of the WFC Code of Ethics

Every member shall accept a fundamental principle:

WorldFinancial.Center is a platform for economic cooperation based on verifiable identity, transparency, responsibility, commercial integrity, and international collaboration.

Through its partnership with foreign chambers of commerce, WorldExpo.Center, UNiOnWorldTrade.Center, and other aggregated organizations, the platform provides a trusted gateway for cross-border business development.
